Terms of Service

1. Introduction
These Terms of Service ("Terms") govern your use of Colla, an AI-powered personal assistant application for macOS, and the website at getcolla.app (together, the "Service"), operated by Andy Chung, ABN 70 449 384 246, trading as Colla ("we", "us", "our").
By creating an account, using the application, or accessing the website, you agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old to use the Service. By creating an account, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.
3. Description of the Service
Colla is an AI-powered personal assistant that helps you manage your calendar, email, and tasks through natural text and voice conversation. The Service integrates with your Google account (Calendar and Gmail) to read, create, and manage events and emails on your behalf.
Colla uses artificial intelligence to process your requests and generate responses. AI-generated content may contain errors. You are responsible for reviewing any actions Colla proposes before confirming them.
4. Beta programme
The Service is currently in private beta and is available by invitation only. By participating in the beta programme, you acknowledge and agree that:
- The Service is under active development. Features may be added, modified, or removed at any time without prior notice.
- The Service may contain bugs, errors, or instabilities that could result in data loss, incorrect actions, or service interruptions.
- We do not guarantee any level of uptime, availability, or performance during the beta period.
- We may discontinue the beta programme or the Service entirely at any time, with or without notice.
- Data created during the beta period may not be preserved if the Service architecture changes significantly.
- The beta is provided free of charge. This does not create any obligation for us to continue providing the Service for free, or at all, after the beta period ends.
Your participation in the beta is voluntary. You may stop using the Service at any time.
5. Account registration
To use Colla, you must create an account using Google OAuth. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
You agree to:
- Provide accurate information during registration and onboarding.
- Keep your account credentials secure and not share them with others.
- Notify us promptly if you become aware of any unauthorised use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms.
6. Google account integration
Colla accesses your Google Calendar and Gmail through Google's APIs when you connect your Google account during onboarding. By connecting your Google account, you authorise Colla to:
- Read your calendar events, including titles, times, attendees, and descriptions.
- Create, update, and delete calendar events on your behalf, subject to your explicit confirmation.
- Read your email messages, including subjects, senders, recipients, and message content.
- Label, archive, send, and reply to emails on your behalf, subject to your explicit confirmation.
Multi-account access. Colla supports connecting multiple Google accounts. By connecting any Google account, you represent and warrant that you have the authority to grant Colla access to that account. You are solely responsible for ensuring that connecting an account does not violate any agreements you have with the account provider or your employer.
You may disconnect any Google account at any time through Colla's Settings. Disconnecting immediately revokes Colla's access to that account's data.
Colla's use of Google API data is subject to the Google API Services User Data Policy, including the Limited Use requirements. For details on how we handle your Google data, see our Privacy Policy.
7. Confirmation of actions and user responsibility
Colla will never create calendar events, send emails, or perform other write actions on your behalf without your explicit confirmation. When Colla proposes an action, it will present the details for your review. The action is only executed after you confirm it by clicking a confirmation button or providing verbal confirmation.
You are solely responsible for reviewing proposed actions before confirming them. This includes verifying recipients, dates, times, and content. Once you confirm an action:
- The action is executed immediately and may not be reversible through Colla.
- You may be able to undo certain actions directly through your Google account (for example, unsending an email within Gmail's undo window or deleting a calendar event).
- We are not liable for any consequences arising from actions you have reviewed and confirmed, including emails sent to incorrect recipients, calendar events created with incorrect details, or any other errors in confirmed actions.
Colla will never delete your emails. It can only read, label, archive, and send.
8. Voice feature
Colla offers a voice conversation feature powered by ElevenLabs. By using the voice feature, you:
- Consent to your voice being captured, transmitted, and processed for speech-to-text conversion.
- Consent to the temporary retention of voice audio and transcripts by ElevenLabs for up to 30 days, as described in our Privacy Policy.
- Acknowledge that voice data may constitute biometric information under certain laws.
If you do not consent to voice processing, do not use the voice feature. The text-based chat interface provides equivalent functionality without voice data collection.
9. Acceptable use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to send spam, unsolicited messages, or bulk communications.
- Use the Service to harass, threaten, defame, or harm others, including via emails or calendar invitations sent through Colla.
- Attempt to gain unauthorised access to the Service, other users' accounts, or our systems.
- Use the Service to store, transmit, or process illegal content.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Use the Service in any way that could damage, disable, or impair the Service or interfere with other users' access.
- Use automated scripts or bots to access the Service, except through our official API (if and when made available).
- Resell, sublicense, or redistribute the Service without our prior written consent.
- Connect Google accounts that you do not have authority to access.
You are solely responsible for any content you send or create through Colla, including emails, calendar events, and task descriptions. We are not responsible for the content of communications you send through the Service.
We reserve the right to suspend or terminate your access if we reasonably believe you have violated these Terms.
10. AI limitations and disclaimers
Colla uses artificial intelligence to process your requests, generate responses, and extract information from your conversations. You acknowledge and agree that:
- AI-generated responses may be inaccurate, incomplete, or inappropriate. You should not rely on Colla as the sole source of information for important decisions.
- Colla's memory system automatically extracts facts from your conversations. While we take steps to ensure accuracy, extracted facts may be incorrect. You can request access to and deletion of your memories at any time by contacting us.
- Colla is not a substitute for professional advice of any kind, including legal, medical, financial, tax, or employment advice.
- The quality and availability of AI responses depend on third-party AI model providers. Changes to these providers' services, capabilities, or policies may affect Colla's performance without prior notice.
11. Intellectual property
Our intellectual property
The Service, including its software, design, branding, documentation, and all underlying technology, is owned by us or our licensors and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. This licence does not grant you any rights to our source code, algorithms, models, or proprietary methods.
Your data
You retain ownership of all data you provide to Colla, including your messages, contacts, to-do items, and any other content you create or upload.
AI-generated content
Content generated by Colla in response to your requests (such as drafted emails, summaries, and briefings) is provided for your use. You may use AI-generated content for any lawful purpose. However, AI-generated content is produced by third-party AI models and we make no representations regarding its accuracy, originality, or fitness for any particular purpose. You are responsible for reviewing AI-generated content before using it.
Feedback and suggestions
If you provide us with feedback, suggestions, feature requests, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate that Feedback into the Service without any obligation to you. This does not apply to your personal data, which is governed by our Privacy Policy.
12. Third-party services
The Service relies on third-party services to function, including but not limited to Google (Calendar and Gmail APIs), Anthropic (AI models), ElevenLabs (voice processing), Nango (OAuth management), Zep (memory), and TinyFish (web search).
We do not control these third-party services and are not responsible for their availability, performance, accuracy, or policies. If a third-party service experiences downtime, changes its terms, or discontinues its service, Colla's functionality may be affected. We will make reasonable efforts to address such disruptions but cannot guarantee uninterrupted service.
Your use of Google services through Colla is also subject to Google's Terms of Service.
13. Availability and support
We aim to provide a reliable service but do not guarantee that the Service will be available at all times or free from errors. The Service may be temporarily unavailable due to maintenance, updates, third-party outages, or circumstances beyond our control.
During the beta period, the Service is provided without a service level agreement (SLA). We will make reasonable efforts to address issues and respond to feedback, but we do not guarantee response times or issue resolution.
14. Fees and payment
The Service is currently provided free of charge during the private beta period. We reserve the right to introduce paid subscription plans in the future. If we do, we will provide at least 30 days' notice and give you the opportunity to choose whether to subscribe or discontinue use of the Service. No charges will be applied without your explicit consent.
15. Data export
You may request an export of your personal data at any time by contacting us at support@getcolla.app. We will provide your data in a structured, commonly used, machine-readable format within 30 days of your request. This right is also described in our Privacy Policy.
16. Limitation of liability
To the maximum extent permitted by law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of data, loss of profits, business interruption, or reputational harm.
- We are not liable for any damages arising from actions you reviewed and confirmed through the Service, including emails sent or calendar events created.
- We are not liable for any damages arising from the inaccuracy of AI-generated content or AI-extracted memory facts.
- We are not liable for any damages arising from the unavailability or malfunction of third-party services on which the Service depends.
- Our total aggregate liability for any claims arising from these Terms or your use of the Service is limited to the greater of (a) the amount you paid us in the twelve months preceding the claim, or (b) AUD $100.
Australian Consumer Law. Nothing in these Terms excludes or limits any rights, guarantees, or remedies you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded or limited by contract. Where our liability cannot be excluded, it is limited to the maximum extent permitted by law.
17. Indemnification
You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service in violation of these Terms.
- Any content you create, send, or transmit through the Service.
- Your violation of any third-party rights.
- Your connection of Google accounts you did not have authority to access.
18. Termination
You may stop using the Service and delete your account at any time.
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, or if we discontinue the Service.
Upon termination:
- Your right to use the Service ceases immediately.
- We will delete your account data in accordance with our Privacy Policy.
- Sections of these Terms that by their nature should survive termination will continue to apply, including Sections 10, 11, 16, 17, and 20.
19. Force majeure
We are not liable for any failure or delay in performing our obligations under these Terms if that failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, pandemic, war, terrorism, government actions, power outages, internet or telecommunications failures, cyberattacks, or the failure of third-party services on which the Service depends.
20. Governing law and dispute resolution
These Terms are governed by the laws of Queensland, Australia.
Any dispute arising from these Terms or your use of the Service will be resolved as follows:
- Informal resolution. You agree to first attempt to resolve any dispute informally by contacting us at support@getcolla.app. We will make reasonable efforts to resolve the matter within 30 days.
- Mediation. If the dispute is not resolved informally, either party may refer the matter to mediation administered by an agreed mediator in Queensland, Australia.
- Courts. If mediation is unsuccessful, the dispute will be submitted to the exclusive jurisdiction of the courts of Queensland, Australia.
Nothing in this section prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.
21. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email (if you have an account) or by posting a notice on our website at least 14 days before the changes take effect. The "Last updated" date at the top of this page indicates when the Terms were last revised.
Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may delete your account.
22. General provisions
- Entire agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
- Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
- Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
- Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
- Notices. We may send notices to you via email or through the Service. You may send notices to us at the contact information below.
